The Role

We are looking for a corporate and securities counsel. You will support all aspects of our public company obligations and work with a wide variety of partners, including investor relations, accounting, stock administration, treasury, compliance, and policy teams. This is a great opportunity to work on a variety of cutting-edge legal issues (including cryptocurrencies and digital assets). You Will

  • Work collaboratively to prioritize our goals and manage the legal aspects of being a public company.

  • Draft, review, and file SEC filings, including 10-Ks, 10-Qs, 8-Ks, S-8s, Form SDs and Section 16 filings.

  • Drive Block’s proxy statement process and annual stockholder meeting, including reviewing and updating the proxy and coordinating with the NYSE, DTC and other partners.

  • Take the lead on bringing your securities expertise to a variety of cryptocurrency and digital asset-related projects at Block.

  • Work on Block’s quarterly earnings and shareholder letter.

  • Help with capital markets transactions.

  • Collaborate with Block’s finance, accounting, investor relations, and communications teams on external disclosures, such as earnings releases, press releases, whitepapers and SEC filings.

  • Manage and administer certain governance policies, including Block's Insider Trading Policy and 10b5-1 plans.

  • Ensure compliance with SEC and NYSE rules and regulations.

  • Help with special corporate projects, including helping with strategic transactions and legal trainings. 

  • Work with our internal business teams and with external advisors and experts.

You Have

  • 7+ years of relevant professional experience practicing law.

  • In-depth substantive expertise of the securities laws and the 1933 and 1934 Acts.

  • Experience working on a team, helping others achieve corporate goals, leading and working with partners, and operating in a fast-paced, flexible culture.

  • Practical and proactive approaches to problem-solving.

  • Willingness and ability to take on diverse tasks, both large and small, and to learn new areas outside of your immediate expertise.

  • J.D. degree and membership in at least one state bar.

Block takes a market-based approach to pay, and pay may vary depending on your location. U.S locations are categorized into one of four zones based on a cost of labor index for that geographic area. The successful candidate’s starting pay will be determined based on job-related skills, experience, qualifications, work location, and market conditions. These ranges may be modified in the future.
